A LIFETIME OF EXPERIENCE

(“Fossil Oil”) was incorporated (Charter #0801152968) under the Texas Business Corporation Act. It is an independent oil and gas exploration and production company whose management and consultants collectively have more than 125 years’ experience in operating and generating oil and gas projects. Fossil Oil’s team of management, geological, geophysical, and engineering consultants concentrate in generating lower risk development drilling prospects along the mid and upper Texas and Louisiana Gulf Coast (onshore), SW Alabama’s Smackover oil play, the Mid-Continental oil areas of Kansas and Oklahoma and more recently the Williston Basin Bakken/Three Forks unconventional shale oil/gas play in North Dakota and Wyoming.

Fossil's current drilling project for 2012 involves drilling multiple oil wells in Escambia County, Alabama (Southwest Alabama).  The Fossil-Smackover Multi-Oil Well JV will initially drill back to back two (2) Smackover prospects called the South Ingram and Roll Tide.  The reserves potential for these two 3D seismic based prospects are estimated to be a total of 1,200,000 barrels of oil.  Each well will be drilled to 14,500’ and test the prolific Upper Smackover formation.  There are eleven (11) nearby oil wells to these two prospects that have produced in excess of 7,100,000 barrels of oil.  Fossil Oil Company has again partnered with Choice Exploration, Inc. to operate and drill the first two of several Smackover oil prospects in this core area. Mr. Kittler is the Founder and President of Fossil Oil Company, LLC. His main responsibilities are to manage Fossil Oil Company's entire corporate functions including Administration, Financial, Marketing, and all other functions involving the generation of high quality drilling prospects for accredited investors and institutional partners. He is an active member in the Houston Geological Society (HGS # 94225), Houston Producers' Forum (HPF), the American Association of Petroleum Geologists (AAPG # 776611), Texas Independent Producers and Royalty Owners Association (TIPRO #7605), Independent Petroleum Association of America (IPAA ), the American Association of Professional Landman (AAPL # 37635) Texas Alliance of Energy Producers (TAEP # 14285), The Petroleum Club of Houston (PCH # 3301), Houston West Chamber of Commerce, Galveston Island Chamber of Commerce, and a charter member of the Houston Wildcatters Association. Recently elected to the Lakeside Improvement Association’s Board of Directors.

Mr. Kittler earned his Bachelor of Arts ( BA ) in Finance at Coe College in Iowa in 1965. He received his Master of Business Administration (MBA) in Marketing Management in 1967 at St. Cloud State University in Minnesota. His business career, for the past three decades, has been with several nationally recognized corporations where he held executive level positions from sales manager to President and CEO in a variety of industries.

Kittler's oil career started as a partner in charge of the Rocky Mountain region for ENI Exploration Company. Mr. Kittler was a partner in a firm that structured, sponsored and marketed more than 50 diversified oil and gas drilling programs involving dozens of industry partners and hundreds of oil and natural gas wells throughout the United States and Canada.

In 1979, Mr. Kittler resigned from ENI to become the President and CEO of a Houston based independent exploration and production company drilling and operating wells throughout the upper Texas Gulf Coast region. His responsibilities involved over-seeing both administrative and the managing of field operations including lease acquisition, drilling, completion, and marketing of hydrocarbons. In late 1986, the company divested and sold its Texas producing oil and gas properties. Mr. Kittler went overseas to form a joint venture with the Republic of China (China National Oil Company) and selected clients in South Korea (Lucky Gold Star Corporation) seeking producing oil properties for their refinery feed stock sources.

Prior to forming Fossil Oil Company, LLC, Mr. Kittler held the position of Chairman and Chief Executive Officer of several privately owned oil and gas operating companies that specialized in the acquisition of producing properties and generating drilling prospects in the mid and upper Texas and Louisiana Gulf Coast. He has been actively acquiring mineral leases, drilling and positioning itself to provide high quality investment opportunities in 2012 for high net worth participants, industry, institutional and accredited investors involving significant reserves of oil and natural gas.




Donald J. Timko

Petrophysics and Petroleum Engineer

Mr. Donald J. Timko has nearly 50 years experience in the petroleum industry. After graduating from the University of Pittsburgh, he was employed by Continental Oil Company (now Conoco Phillips) as a Research and Reservoir Petroleum Engineer. Some of his initial responsibilities involved drilling and evaluating wells in Conoco’s extensive operations in Texas, Oklahoma and Kansas. Prior to leaving Conoco in 1973, Mr. Timko was promoted as the head of Conoco’s Formation Evaluations Operations on a worldwide basis. Among his many responsibilities in this position, the most significant included .... in-depth review and interpretation of Well Logs, Drill Stem, Sidewall Cores, Well Testing and Production Recommendations.

After resigning from Conoco, he formed and operated his own independent petrophysics consulting company, which continues to this day.

Over the years, Mr. Timko has been successfully associated as owner or co-owner of two domestic production companies, which have discovered and developed considerable oil and gas reserves along the upper Gulf Coast of Texas. He sold these interests in 1998, and now devotes his full time as a petroleum consultant, specializing in petrophysics.

Mr. Timko has been a member of the faculty at the University of Houston, teaching graduate level courses in Hydrocarbon Formation Evaluation. Over the years, he has taught similar Hydrocarbon Formation Evaluation courses in the USA, Canada, South America, Europe, Asia, and Africa.

Mr. Timko was selected as a “Distinguished Lecturer” for the Society of Petroleum Engineers of A.I.M.E. The lectures, given worldwide, emphasized techniques to define the commerciality of oil and gas reservoirs in high pressure / high temperature geological environments. He has published many technical papers on this subject over the years, in the Oil and Gas Journal, the most recent being in 2004, 2008, and 2010 August issue.

Presently, Mr. Timko has been the Senior Geologist, Petroleum Engineer and Petrophysics Expert for Fossil Oil for more than a decade. He currently is the principal advisor to Fossil Oil, relative to Fossil’s partnership with Choice Exploration, Inc.  He generated the recent two successfully drilled Frio oil wells in the La Ward N.E. Field in Jackson County, Texas and approved the two (2) Olmos oil wells  in the Stacy Field, Frio County, Texas.  Mr. Timko and team has approved the deep 14,500’ Smackover oil prospects in Escambia County, Alabama to be drilled early in 2012.




E.J. Gilbert

Drilling Engineer Consultant

Mr. E.J. Gilbert graduated from the University of Texas with a B.S. Degree in Petroleum Engineering. In 1991, Mr. Gilbert worked as a management consultant assisting the President of Forest Oil Corporation in organizing the operations and the engineering functions to fit the downsized company. Shortly after, he was employed by Canada Triton International as an Area Manager. He directed the operational and the technical staff contracted by Corproven in Eastern Venezuela to provide an on-site supervision for two rigs engaged in drilling and completing 20,000' wells.

After resigning from Phibro Energy as their technical advisor in 1993, Mr. Gilbert joined McClure and Assoc. Inc. as their Senior Instruction's Drilling Engineer. He provided classroom instructions in application of abnormal pressure theory to advanced well planning for engineers, geologists, and geophysicists from major oil companies.

For 10 years, Mr. Gilbert worked for Eaton Engineering, Inc. as their Senior Advanced Drilling Engineer. His responsibilities have covered a wide variety of areas. He worked with Texaco as a consultant for offshore drilling operations in Angola, and prepared AFE, cost estimates, drilling and completion programs for extended reach, and exploratory wells. Mr. Gilbert also worked with Conoco designing and assisting in three re-entry horizontal platform wells in Indonesia, and directed exploration wells in the Gulf of Paria, Venezuela.

For the past several years, Mr. Gilbert has been Fossil Oil Company’s on-site drilling engineer. He will over-see the drilling program designed to drill the Fossil Fossil-Muehr/Stafford JV and the Fossil-Stafford Multi-Well Program in Jackson County, Texas.

Ms. Sharon Kittler is a graduate from the University of North Texas. She has had a diversified career and experience in retail management having spent 14 years in a variety of executive/management positions with the Whole Foods Market organization. Ms. Kittler is responsible to focus on creating new business relationships with high income/high net worth individuals, institutional investors, and industry partners.

Financial Administrator

Ms. Hermie Flores attended the University of Mississippi and the University of Houston working on a degree in accounting and financial management. Ms. Flores responsibilities range from managing oil & gas revenue distributions, Fossil joint venture’s accounting/bookkeeping, accounts payable, A/R, the corporate accounting for several Fossil entities, supports Fossil’s CPA firm in the preparation of Federal Tax Returns and other State and Federal filing requirements, handles all corporate banking relationships and Fossil’s filings with the Texas Railroad Commission. Ms. Flores is bi-lingual and works with many of Fossil’s domestic and foreign investors.

Ms. Lisa Kittler is a 2010 graduate from the University of Texas - San Antonio with a degree in Communications and Business Administration. For the past several summers, Ms. Kittler has worked as an intern for Fossil Oil gaining a wide variety of experience in the administration as well as client relations and marketing drilling funds. Ms. Kittler joined Fossil Oil Company to continue working in the areas of office/client administration, investor communications and advertising/marketing/public relations efforts.





Devin Iverson

Mr. Devin Iverson is a 2011 graduate from the University of Montana with a Bachelors of Science degree in Business Administration majoring in Management Information Systems. This past summer, Mr. Iverson worked as an intern for Fossil Oil Company focusing on maximizing Fossil’s search engine results and developing Fossil’s social media networking efforts. These same responsibilities will continue in addition to attracting high net worth individuals and institutions through the internet’s adword campaign and advertisements with other search engine sources including the improvement of Fossil’s mobile website.




Jim Fulp

Mr. Jim Fulp has over 21 years experience in the Texas oil and gas industry. Mr. Fulp completed his studies at New Mexico State University In 1975. He graduated with a B.A. in Mass Communication, Journalism, Photojournalism, Cinematography, Advertising, and Television Production. He also received minors in Geology and Electrical Engineer. Mr. Fulp continued his studies and worked on his Masters in Counseling and Educational Psychology. His experience has included Commercial Photographic and Production Lab Management, and Marketing Manager for a Fortune 500 multi-media corporation.

Since 1989, Mr. Fulp has been involved in the funding, development, marketing and illustration of numerous oil and gas drilling projects within the oil and gas industry.

From 1995 to 2000, Mr. Fulp served as VP of Corporate Development of an Austin based independent Oil and Gas Company. In 1999, he founded FocusArts.com a digital marketing services company and has sole ownership of the company. FocusArts.com is dedicated to serving the oil and gas industry. Since 1999, Mr. Fulp has been consulting for Fossil Oil's President, Dennis R. Kittler and the various Fossil companies.




Joseph G. Soliz

Joseph G. Soliz

Corporate Attorney

Mr. Joseph G. Soliz has over 31 years experience in legal and business law practices. Since 1981, he has been the oil and gas attorney and legal advisor to Fossil's President, Dennis R. Kittler. Mr. Soliz graduated Magna Cum Laude at Texas State University with a B.A. in Political Science. He furthered his education by attaining his Masters at Harvard Law School in Cambridge, MA in 1979.

After graduating, Mr. Soliz was employed by Chamberlain, Hrdlicka, White, Williams, and Martin. For the next 11 years, he served as a member of the firm's Energy Group. His responsibilities included handling a variety of complex energy related transactions and oil and gas related litigations. He also performed regulatory compliance work, provided substantial corporate, and tax planning assistance.

El Paso Corporation, 2003, he served as a senior legal counsel to this public company. He rendered legal and general business advice to company's senior management and downstream petroleum unit. Mr. Soliz provided support and recommendations to management concerning new business ventures and divestitures, including negotiating and structuring transactions. He handled complete petroleum related acquisitions and divestitures, including managing due diligence investigations. He negotiated, reviewed and drafted purchase and sale contracts, guaranty and indemnity agreements, lease and other property agreements, construction contracts, consulting agreements service and supply contracts, and non-disclosure agreements.

Since 1996, Mr. Soliz has been successful as the attorney/member of the Soliz Law Firm, PLLC. He maintains general business practice as a sole proprietor emphasizing on handling corporate, commercial, environmental, energy, and real estate matters. He advises domestic and foreign clients regarding business, tax, legal and political risk issues, and regulatory compliance matters. He also assist clients with developing strategic business and marking plans, corporate and tax planning, and obtaining and structuring debt and equity financing.

Mr. Soliz has been a member of the faculty at the South Texas College of Law in Houston, Texas, teaching at a graduate level in Oil, Gas, and Mineral Law courses. Mr. Soliz was admitted to the State Bar of Texas, the United States District Court for the Southern District of Texas, and the United States Court of Appeals for the 5th and 9th Circuits.

Currently, Mr. Soliz has been providing oil and gas legal services to Fossil Oil Company's President, Dennis R. Kittler continually since 1983. He attends Fossil's Executive Committee meetings. The Soliz Law Firm has prepared all mineral leases, assignments, and legal documents for each Fossil Oil joint venture/general partnership.
